Terms & Conditions
These terms govern your use of Stempy. By creating an account or using the service, you agree to them. We kept the legal language as short as we could, and added plain English summaries where it helps.
The agreement
These Terms & Conditions form a legally binding agreement between you and Stempy Ltd, a company registered in England and Wales with company number 14872019. They cover your use of our website, merchant portal, mobile passes, and all related services. Together we refer to these as the "Service".
If you are signing up on behalf of a business, you confirm that you have the authority to bind that business to these terms.
Your account
To use Stempy you need to create a merchant account. You agree to provide accurate information, keep it up to date, and tell us promptly if your contact details change. You are responsible for everything that happens under your account, so keep your password safe. We recommend turning on two factor authentication.
You may give members of your team access to your account. You remain responsible for their actions.
Using Stempy
We grant you a non exclusive, non transferable licence to use Stempy for your own business, for as long as your account is in good standing. You may:
- Issue wallet passes to your customers
- Send push notifications about offers, rewards, and news
- Access the merchant portal to manage stamps, offers, and settings
- Integrate Stempy with other tools using our public API
You may not resell the Service, sublicense it, or white label it without our written permission.
Fees and billing
Stempy is offered on monthly and annual subscription plans. The current pricing is on the Pricing page. Fees are charged in advance and are non refundable, except where required by law.
7-day trial
New merchants get a 7-day trial with full access to all features. A valid payment method is required to start your trial. You will not be charged until the trial ends. Cancel any time before then and you will not be billed.
Changes to pricing
We may change our prices. If we do, we will give you at least 30 days notice by email. If you do not agree with the new pricing, you can cancel before the change takes effect and we will refund any unused portion of your current term.
Late payment
If a payment fails we will retry it three times over seven days. If it still fails, we may suspend your account. We will always email before suspending.
Your content and data
You keep full ownership of everything you upload to Stempy: your logo, brand colours, offer copy, customer data, and so on. By uploading it, you grant us a limited licence to store, display, and transmit it for the purpose of running the Service.
You can export your data at any time from the merchant portal. If you close your account, we will delete your data within 90 days, except where we are legally required to keep it longer.
Acceptable use
When you use Stempy you agree not to:
- Break any laws, including consumer protection, advertising, and anti spam laws
- Send misleading offers or communications
- Use Stempy to harass, defraud, or mislead customers
- Interfere with or attempt to compromise the Service or anyone else's account
- Scrape, reverse engineer, or resell the Service
We reserve the right to suspend accounts that breach this section, with or without notice, depending on the severity.
Service availability
We work hard to keep Stempy running 24 hours a day. We target 99.9 percent uptime for the merchant portal and wallet pass delivery. Our public status page shows real time and historical uptime.
Sometimes we need to run maintenance that affects availability. We will schedule these windows outside peak trading hours where possible and announce them in advance.
Termination
You can cancel your account at any time from the merchant portal. Cancellation takes effect at the end of your current billing cycle. We will not charge you again after that.
We may terminate or suspend your account if you breach these terms, if your payment method fails for more than 30 days, or if we are required to by law. In serious cases we may terminate immediately; otherwise we will give you notice and a chance to fix the issue.
Warranties and disclaimers
We provide Stempy with reasonable skill and care. Beyond that, and to the extent allowed by law, the Service is provided "as is". We do not guarantee that it will be uninterrupted, error free, or suited to every use case.
Nothing in these terms limits rights that cannot be limited under English consumer law.
Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to the Service is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, lost profits, or lost goodwill.
Nothing in this section excludes our liability for fraud, death, personal injury caused by negligence, or anything else that cannot be excluded under English law.
Governing law
These terms are governed by the laws of England and Wales. Any dispute will be handled by the courts of England and Wales, unless you are a consumer in another part of the UK, in which case your local courts may apply.
